1. Acceptance of Terms

By purchasing or using LTV Analyzer ("the Product"), you agree to be bound by these Terms of Service. If you do not agree, do not purchase or use the Product.

2. Product Description

LTV Analyzer is a web-based SaaS tool for customer lifetime value analysis. The Product uses Kaplan-Meier survival analysis and Weibull modeling to produce defensible LTV estimates from customer transaction data.

3. License Grant

Upon purchase, you are granted a non-exclusive, non-transferable license to access and use LTV Analyzer. Each license is tied to a single authorized user and a single set of login credentials. You may use the Product for your own business purposes, including performing analysis on behalf of your clients (e.g., as a consultant or agency). However, your login credentials may not be shared with, sublicensed to, or transferred to any other individual or entity.

Each license permits only one active session at a time. If a new login is initiated while an existing session is active, the previous session will be automatically terminated. This policy is enforced to maintain the integrity of the single-user license.

4. Pricing and Payment

LTV Analyzer is sold as a one-time purchase. All payments are processed by Paddle.com, which acts as the Merchant of Record. Prices may be displayed in your local currency based on your location. All applicable taxes are calculated and collected by Paddle in accordance with local regulations.

5. Account Credentials

Upon purchase, you will receive login credentials via email. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Your use of the Product is also governed by our Privacy Policy. You retain ownership of all data you upload to the Product. We do not sell or share your uploaded data with third parties. Uploaded data is processed within your session and is not permanently stored on our servers. Data is automatically discarded when your session ends.

8. Intellectual Property

All rights, title, and interest in and to the Product, including its design, algorithms, code, and documentation, are owned by Gambit, Inc. Nothing in these Terms grants you any right to the Product's intellectual property beyond the limited license described in Section 3.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Product is provided "as is" and "as available" without warranties of any kind, either express or implied. While LTV Analyzer employs generally accepted statistical methods and we make reasonable efforts to ensure the accuracy and reliability of the Product, we do not warrant that it will be uninterrupted or error-free. LTV estimates produced by the Product are statistical projections based on the data you provide and should not be treated as guarantees of future performance.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Gambit, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Product.

12. Termination

We reserve the right to suspend or terminate your access to the Product if you violate these Terms. Upon termination, your license to use the Product will immediately cease.

13. Service Discontinuation

We reserve the right to discontinue LTV Analyzer at any time. In the event of discontinuation, we will provide at least 90 days' prior notice via the email address associated with your account. If the Product is discontinued within 180 days of your purchase date, you will be entitled to a pro-rated refund based on the remaining days within that 180-day period. No refunds will be issued for discontinuation occurring after 180 days from the date of purchase.

14. Modifications

We may update these Terms from time to time. Material changes will be communicated via the email address associated with your account. Continued use of the Product after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Japan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.
